These Terms are an agreement between you ("Customer", and if you use LandMan for a company, that company) and Emergent Intelligence Group LLC ("EIG", "we"). By creating an account, clicking "I agree", or using LandMan, you accept these Terms, the Privacy Policy, the AI, Voice & Biometric Disclosure, the Calling & Texting Policy, the Acceptable Use Policy and, for business accounts, the Data Processing Addendum. Questions: [email protected].
1. What LandMan is
LandMan is software for mineral-rights landmen. It helps you research permits and public records, organize owners, clients and deals, draft documents from your own templates, contact owners through your own phone and email providers, and use AI assistants (typed and spoken) to do that work faster.
LandMan is a research and workflow tool. It does not give legal, tax, title, valuation or investment advice, does not certify title or ownership, and does not act as your broker, agent or lawyer. You decide what to rely on and what to send.
2. Accounts
2.1 You must be at least 18 and able to enter contracts. Information you give us at sign-up must be accurate. We verify your email address before an account is created and may review sign-ups before giving access.
2.2 You are responsible for your account, its sign-in, everything done under it, and for each person you give access to. Tell us at once if you think your account was used without permission.
2.3 Team seats (Enterprise). The account owner may add teammates up to the number of seats on the plan. Teammates use the owner's plan and its limits; each teammate keeps their own sessions and client records. The owner can see a summary of each teammate's pipeline and can remove a seat at any time. The owner is responsible for teammates' use.
3. Plans, fees and payment
3.1 Plans (for example Starter, Pro, Pro Plus and Enterprise) include different features and usage limits, shown in Settings → Billing. A feature not included in your plan is not available until you upgrade. We may change plans, features, limits or prices with at least 30 days' notice for paid subscriptions; changes take effect at your next renewal.
3.2 Payment is handled by Stripe. Card details are entered on Stripe's pages and are never stored by LandMan. Subscriptions renew automatically each billing period until cancelled. Fees are in U.S. dollars, exclude taxes, and are non-refundable except where the law requires otherwise.
3.3 If a payment fails, we may pause the account until it is paid. While paused you can still open Billing to fix the payment; automation, AI and outreach stop. Usage limits (for example AI tokens or AI-voice minutes) reset each billing month; unused amounts do not roll over.
4. Your data
4.1 You own the data you put into LandMan ("Customer Data"): your clients, deals, notes, documents, templates, call logs and transcripts. You give EIG permission to host, process and transmit Customer Data only to provide and support the service, keep it secure, and as the law requires.
4.2 You are responsible for having the right to collect and use the personal information you put into LandMan, including information about mineral owners, and for honoring their requests and opt-outs.
4.3 We do not sell Customer Data and do not use it to train AI models for other customers. Our Privacy Policy explains what we collect and why.
4.4 When you close your account you can export your data first. We delete or anonymize Customer Data within 90 days after closing, except what we must keep by law or for legitimate records such as billing and the Do-Not-Call opt-out list (kept 5 years so we never contact someone who asked us to stop).
5. AI features
5.1 LandMan uses AI models from third-party providers (for example OpenAI and Anthropic) to understand requests, summarize, draft and suggest replies. AI output can be wrong, incomplete or out of date. You must review AI output, including summaries, drafts, owner matches, scores and suggested call replies, before you rely on it or send it to anyone.
5.2 Local AI backup. If you set up a model on your own computer or network, LandMan uses it only when the cloud AI cannot be reached (for example the server is down or your internet fails). You are responsible for that model and the equipment it runs on.
5.3 Autopilot. Autopilot can prepare and, where your plan and settings allow, perform workflow steps. Steps that send outreach, sign, or change a deal's legal status follow the approval levels you set, and some steps always require a person. You remain responsible for every action taken under your account, including actions you allowed Autopilot to take.
6. Calls, texts, email and AI voice
6.1 Calling and texting run through your own Twilio account and numbers; email runs through your own email account. You are the sender and caller of record. You must follow the Calling & Texting Policy and all applicable laws, including the Telephone Consumer Protection Act, the Telemarketing Sales Rule, the National Do-Not-Call Registry, state calling-hour and do-not-call rules, CAN-SPAM, and call-recording consent laws.
6.2 LandMan's compliance checks (opt-outs, Do-Not-Call results you record, calling hours, consent records) help you follow those rules but do not replace your own judgment or legal advice. A Do-Not-Call check is recorded per phone number and must be repeated at least every 30 days.
6.3 Call transcription and recording. When transcription is on, the person called hears a notice before the call connects. Some states require every party's consent; you are responsible for complying with them and must not turn off notices where the law requires them.
6.4 AI voice agent. On plans that include it, an AI voice agent can call owners for you. It identifies itself as an AI at the start of every call, follows your call playbook and fixed rules, honors any request to stop, and does not leave AI voicemails. You may only use it to call people who have given the consent the law requires.
7. Acceptable use
You must follow the Acceptable Use Policy. We may suspend features or accounts that break it, put others at risk, or put EIG at legal risk.
8. Third-party services
LandMan connects to services you choose and pay for separately (for example Twilio, e-sign and online-notary providers, and data providers). Their terms govern those services. EIG is not responsible for third-party services or for data you send to them.
9. Intellectual property
EIG owns LandMan, its software, design and content (other than Customer Data). We give you a limited, non-exclusive, non-transferable right to use LandMan during your subscription. Feedback you give us may be used without obligation to you.
10. Confidentiality and security
Each side keeps the other's non-public information confidential and uses it only for this agreement. EIG uses reasonable administrative, technical and physical safeguards for Customer Data, as described in the Data Processing Addendum. No system is perfectly secure.
11. Disclaimers
LANDMAN IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT ALLOWED BY LAW, EIG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT RESEARCH RESULTS, PUBLIC RECORDS, OWNER MATCHES, AI OUTPUT OR VALUATIONS ARE ACCURATE OR COMPLETE.
12. Limitation of liability
TO THE FULLEST EXTENT ALLOWED BY LAW, NEITHER SIDE IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR LOST PROFITS, AND EIG'S TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM. THESE LIMITS DO NOT APPLY TO YOUR PAYMENT OBLIGATIONS OR YOUR INDEMNITY BELOW.
13. Indemnity
You will defend and indemnify EIG against claims arising from your Customer Data, your outreach (calls, texts, emails, AI-voice calls), your breach of these Terms or the law, or your teammates' use.
14. Suspension and termination
You may cancel at any time in Settings → Billing; access continues until the end of the paid period. We may suspend or end access for non-payment, breach of these Terms or the Acceptable Use Policy, or when required by law. Sections that by their nature should survive (including 4.4, 11–16) survive termination.
15. Changes to these Terms
We may update these Terms. We will show the new version in the app and email account owners at least 30 days before material changes take effect. Continuing to use LandMan after that date means you accept the changes.
16. Disputes and governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. [FILL with counsel: dispute resolution — e.g. binding individual arbitration administered by the AAA in Harris County, Texas, class-action waiver, small-claims carve-out, and 30-day opt-out window.] Either side may seek injunctive relief to protect its intellectual property or confidential information.
17. General
These Terms and the documents they reference are the whole agreement about LandMan. If a part is unenforceable, the rest stays in effect. You may not assign these Terms without our consent; we may assign them in a merger or sale. Notices to EIG go to [email protected].
